Terms and Conditions for Freelancers

Welcome to Engineer Hut. These Terms and Conditions (“Terms”) govern your use of the Engineer Hut website and platform (the “Platform”) as a freelance engineer, consultant, or service provider (“Freelancer”, “you”). Please read them carefully before creating an account.

By registering for or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About Engineer Hut

Engineer Hut is an online marketplace that connects independent engineers and technical freelancers (“Freelancers”) with individuals and businesses seeking engineering services (“Clients”). Engineer Hut does not charge Clients any commission, service fee, or listing fee for use of the Platform. Engineer Hut charges Freelancers a platform fee of 5% of the value of each payment released for work arranged through the Platform, as described in Section 5.

To protect both Freelancers and Clients, all payments for work arranged through the Platform must be made and processed through Engineer Hut’s on-platform payment system. Engineer Hut collects payment from the Client when an engagement begins, holds those funds on the Freelancer’s behalf, and releases them to the Freelancer, less the 5% platform fee, once the work has been delivered and confirmed.

Aside from operating this payment system, Engineer Hut is not a party to, and does not participate in, the underlying contract or project agreement (i.e., the scope of work, deliverables, and timelines) agreed between a Freelancer and a Client.

2. Eligibility

To register as a Freelancer, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts under the laws of Bangladesh or your country of residence;
  • Provide accurate, current, and complete information during registration; and
  • Be legally entitled to offer the services you list, including holding any required licenses, certifications, or work authorizations.

Engineer Hut reserves the right to refuse, suspend, or terminate any account at its discretion, including where information provided is false or misleading.

3. Your Account

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify Engineer Hut promptly of any unauthorized use of your account.
  • You may not create multiple accounts to misrepresent your identity, qualifications, or reviews.

4. Your Profile and Listings

  • You are solely responsible for the accuracy of your profile, including your skills, experience, portfolio, qualifications, and rates.
  • You may not misrepresent your identity, credentials, or the nature of the services you offer.
  • You retain ownership of the content you upload to your profile (e.g., portfolio samples), but you grant Engineer Hut a non-exclusive, royalty-free license to display that content on the Platform for the purpose of operating the marketplace.

5. Relationship with Clients and On-Platform Payments

  • Engineer Hut connects you with Clients. Scope of work, deliverables, timelines, revisions, and other terms of engagement are agreed directly between you and the Client. However, payment must always go through the Platform — see below.
  • When a Client engages you for a project, the Client’s payment is collected upfront and held by Engineer Hut on your behalf. Funds are released to you after you have delivered the agreed work and the Client has confirmed satisfactory delivery, or after any applicable review or dispute period has passed, in accordance with the Platform’s payment process.
  • Engineer Hut deducts a platform fee of 5% of the payment amount before releasing funds to you. All payments and fees on the Platform are processed in US Dollars (USD). For example, if a Client pays $1,000 USD for an engagement, Engineer Hut releases $950 USD to you and retains $50 USD as its platform fee. This fee applies only to payments processed through the Platform and is Engineer Hut’s sole compensation for operating the payment and escrow system.
  • If your bank account, mobile wallet, or payment method receives funds in Bangladeshi Taka (BDT) or another currency, any currency conversion will be carried out by your bank or payment provider at their prevailing exchange rate, and any conversion fees or exchange rate differences are your responsibility, not Engineer Hut’s.
  • You must not ask, pressure, encourage, or arrange with a Client to pay you, or to agree on any payment, outside of the Platform’s on-platform payment system. This applies to full or partial payment, and whether or not it is disclosed to Engineer Hut. Attempting to move a transaction off-platform to avoid the Platform’s payment process is a serious violation of these Terms.
  • If you solicit, negotiate, or accept off-platform payment for work sourced through the Platform, Engineer Hut may, at its discretion: suspend or permanently ban your account, remove your listings, and withhold or reclaim any funds held in escrow for the relevant engagement.
  • If a Client reports that you have asked them to deal outside the Platform, Engineer Hut may investigate and take action under this section based on the information available to it.
  • If a payment is refunded to the Client in full (for example, following a dispute resolved under Section 7), Engineer Hut will not charge the 5% platform fee on that payment. If a payment is only partially released to you following a dispute, the 5% fee applies only to the portion released.
  • You are an independent contractor, not an employee, agent, partner, or representative of Engineer Hut. Nothing in these Terms creates an employment, agency, or partnership relationship between you and Engineer Hut.
  • Engineer Hut does not guarantee you will receive work, inquiries, or a minimum volume of business through the Platform.

6. Taxes and Compliance

You are solely responsible for:

  • Determining and paying any income tax, VAT, or other taxes applicable to income earned through work obtained via the Platform, in accordance with the laws of Bangladesh or any other applicable jurisdiction;
  • Complying with any applicable business registration, licensing, or professional regulatory requirements; and
  • Any social security, insurance, or benefits arrangements, as Engineer Hut provides none of these.

7. Quality of Work and Disputes

  • Engineer Hut does not vet, supervise, or guarantee the quality, legality, or completion of any work performed by Freelancers.
  • Any disputes regarding scope, quality, or deadlines are primarily between you and the Client. Engineer Hut is not obligated to mediate the underlying dispute, though it may, at its sole discretion, offer informal assistance.
  • Where a Client disputes the delivery or quality of your work before payment is released, Engineer Hut may review the dispute solely for the purpose of deciding whether to release, withhold, or refund the funds held in escrow. This decision relates only to the release of held funds and is not a legal judgment on, or binding resolution of, the underlying dispute between you and the Client.
  • You agree not to hold Engineer Hut responsible for any Client’s breach of agreement, misconduct, or dissatisfaction with delivered work, beyond Engineer Hut’s role in releasing or withholding held payment as described above.

8. Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent information;
  • Harass, threaten, or discriminate against Clients or other users;
  • Use the Platform to solicit users for unrelated or unlawful purposes;
  • Solicit, negotiate, or accept payment from a Client outside of the Platform’s payment system for work sourced through Engineer Hut (see Section 5);
  • Attempt to interfere with the security or proper functioning of the Platform;
  • Infringe the intellectual property or privacy rights of others; or
  • Use the Platform to distribute malware, spam, or unlawful content.

Violation of this section may result in suspension or termination of your account.

9. Intellectual Property Delivered to Clients

Ownership and licensing of work product (code, designs, documents, etc.) delivered to a Client is a matter to be agreed directly between you and the Client. Engineer Hut recommends that you agree on IP ownership and licensing terms in writing before starting any project.

10. Disclaimers

  • The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Engineer Hut does not guarantee uninterrupted or error-free operation of the Platform.
  • Engineer Hut does not verify the identity, solvency, or intentions of Clients and makes no representation about the reliability of any Client you connect with.

11. Limitation of Liability

To the maximum extent permitted under the laws of Bangladesh, Engineer Hut, its owners, officers, and employees shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of income, profits, data, or business opportunities arising from:

  • Your use of, or inability to use, the Platform;
  • Any interaction, agreement, dispute, or transaction with a Client;
  • Non-payment, late payment, or breach of contract by a Client; or
  • Any content posted by other users.

Engineer Hut’s role in collecting, holding, and releasing payment is provided solely as a convenience and safeguard for both parties. Engineer Hut is not liable for delays in releasing held funds, decisions made in resolving delivery disputes under Section 7, or a Client’s failure to fund an engagement, except where caused by Engineer Hut’s own gross negligence or willful misconduct.

Because Engineer Hut’s only compensation is the 5% platform fee described in Section 5, and it is not a party to the underlying Freelancer-Client agreement, Engineer Hut’s total liability to you arising out of these Terms or your use of the Platform shall not exceed the total platform fees paid by you in the [Insert period, e.g., 3 months] preceding the claim, or the amount of any single payment held in escrow that is directly in dispute, whichever the parties agree upon at the time of any dispute.

12. Indemnification

You agree to indemnify and hold harmless Engineer Hut from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your work for a Client, or your breach of these Terms.

13. Termination

You may deactivate your account at any time. Engineer Hut may suspend or terminate your account, with or without notice, if you violate these Terms or engage in conduct harmful to the Platform, other users, or Engineer Hut’s reputation.

14. Changes to These Terms

Engineer Hut may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. Material changes will be indicated by an updated “Last updated” date.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of Bangladesh. Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of [Insert City, e.g., Dhaka], Bangladesh.
