Terms and Conditions for Clients

Welcome to Engineer Hut. These Terms and Conditions (“Terms”) govern your use of the Engineer Hut website and platform (the “Platform”) as a person or organization seeking to hire freelance engineers or technical service providers (“Client”, “you”). Please read them carefully before creating an account or contacting a Freelancer.

By registering for or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About Engineer Hut

Engineer Hut is an online marketplace that connects Clients with independent engineers and technical freelancers (“Freelancers”). Engineer Hut does not charge Clients any commission, service fee, or listing fee for use of the Platform — it is completely free for you to browse, contact, and engage Freelancers. Engineer Hut separately charges Freelancers a platform fee on payments they receive; this fee is deducted from the Freelancer’s side and does not affect the amount you pay.

To protect both Clients and Freelancers, all payments for work arranged through the Platform must be made and processed through Engineer Hut’s on-platform payment system. When you engage a Freelancer, your payment is collected by Engineer Hut and held on the Freelancer’s behalf until the work is delivered and confirmed, at which point it is released to the Freelancer. You pay exactly the amount you agree with the Freelancer — Engineer Hut adds no markup, fee, or surcharge on top of it.

Aside from operating this payment system, Engineer Hut is not a party to, and does not participate in, the underlying contract or project agreement (i.e., the scope of work, deliverables, and timelines) agreed between you and a Freelancer.

2. Eligibility

To register as a Client, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts under the laws of Bangladesh or your country of residence;
  • Provide accurate, current, and complete information during registration; and
  • If registering on behalf of an organization, have the authority to bind that organization to these Terms.

Engineer Hut reserves the right to refuse, suspend, or terminate any account at its discretion, including where information provided is false or misleading.

3. Your Account

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify Engineer Hut promptly of any unauthorized use of your account.
  • You may not create multiple accounts to misrepresent your identity or circumvent restrictions placed on a prior account.

4. Finding and Engaging Freelancers

  • Engineer Hut allows you to browse Freelancer profiles and contact Freelancers directly through the Platform.
  • Scope of work, deliverables, timelines, revisions, confidentiality, and other terms of engagement are agreed directly between you and the Freelancer. However, payment must always go through the Platform — see Section 6 below.
  • Freelancers on Engineer Hut are prohibited from asking you to pay them, or to agree on any payment, outside of the Platform’s on-platform payment system. If a Freelancer asks you to deal, pay, or agree on payment terms outside the Platform, please decline and report it to Engineer Hut, as this is a violation of the Freelancer’s Terms and may result in their account being suspended or banned.
  • Engineer Hut strongly recommends that you agree on a written scope of work and intellectual property ownership with the Freelancer before work begins.

5. No Vetting or Endorsement

  • Engineer Hut does not independently verify the identity, qualifications, certifications, experience, or work history claimed by Freelancers on their profiles.
  • Listing on the Platform does not constitute an endorsement, recommendation, or guarantee of a Freelancer’s skill, reliability, or professionalism by Engineer Hut.
  • You are solely responsible for evaluating a Freelancer’s suitability for your project, including verifying credentials, checking references, and conducting your own due diligence, before engaging them.

6. Payments, Escrow, and Taxes

  • All payments to Freelancers for work arranged through the Platform must be made through Engineer Hut’s on-platform payment system. Engineer Hut does not permit, and Freelancers are prohibited from requesting, payment outside of this system.
  • When you engage a Freelancer, you pay Engineer Hut the agreed amount upfront. Engineer Hut holds these funds on the Freelancer’s behalf and does not release them until the Freelancer has delivered the agreed work and you have confirmed satisfactory delivery, or the applicable review period has passed without a dispute being raised, as described in the Platform’s payment process.
  • If you are not satisfied with the delivered work, you may raise a dispute before funds are released. Engineer Hut may review the dispute solely to decide whether to release, withhold, or refund the held payment. This decision relates only to the release of held funds and is not a legal judgment on, or binding resolution of, the underlying dispute between you and the Freelancer.
  • All payments and fees on the Platform are processed in US Dollars (USD). If you fund your payment from a Bangladeshi Taka (BDT) account or another currency, any currency conversion will be carried out by your bank or payment provider at their prevailing exchange rate, and any conversion fees or exchange rate differences are your responsibility, not Engineer Hut’s.
  • Engineer Hut does not charge you any fee, commission, or markup for holding or processing payments through the Platform. You pay exactly the amount agreed with the Freelancer, and Engineer Hut’s platform fee (charged separately to the Freelancer) is deducted from the Freelancer’s payout, not from what you pay.
  • You are responsible for any taxes, withholding obligations, or regulatory requirements (e.g., VAT, withholding tax on payments to contractors) applicable to your engagement of a Freelancer under the laws of Bangladesh or any other applicable jurisdiction.

7. Quality of Work and Disputes

  • Engineer Hut does not supervise, guarantee, or take responsibility for the quality, timeliness, legality, or completion of any work performed by a Freelancer.
  • Disputes regarding scope, quality, deadlines, deliverables, or confidentiality are primarily between you and the Freelancer. Engineer Hut is not obligated to mediate the underlying dispute, though it may, at its sole discretion, offer informal assistance, and will review disputes raised before payment release as described in Section 6.
  • You agree not to hold Engineer Hut responsible for a Freelancer’s failure to deliver, breach of agreement, negligence, or misconduct, beyond Engineer Hut’s role in releasing, withholding, or refunding held payment as described in Section 6.

8. Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent information;
  • Harass, threaten, or discriminate against Freelancers or other users;
  • Use the Platform to solicit users for unrelated or unlawful purposes;
  • Attempt to circumvent, interfere with, or compromise the security of the Platform;
  • Request or engage a Freelancer to perform unlawful work, including infringing third-party intellectual property rights; or
  • Use the Platform to distribute malware, spam, or unlawful content.

Violation of this section may result in suspension or termination of your account.

9. Intellectual Property in Delivered Work

Ownership and licensing of any work product (code, designs, documents, etc.) delivered by a Freelancer is a matter to be agreed directly between you and the Freelancer. Engineer Hut recommends that IP ownership and licensing terms be agreed in writing before work begins, and takes no responsibility for IP disputes arising from a Freelancer engagement.

10. Confidential Information

If you share confidential or proprietary information with a Freelancer, you are responsible for putting in place any confidentiality or non-disclosure agreement you consider necessary. Engineer Hut is not responsible for the protection or misuse of information shared directly between you and a Freelancer.

11. Disclaimers

  • The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Engineer Hut does not guarantee uninterrupted or error-free operation of the Platform.
  • Engineer Hut makes no representation or warranty regarding the availability, competence, or conduct of any Freelancer on the Platform.

12. Limitation of Liability

To the maximum extent permitted under the laws of Bangladesh, Engineer Hut, its owners, officers, and employees shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of income, profits, data, or business opportunities arising from:

  • Your use of, or inability to use, the Platform;
  • Any interaction, agreement, dispute, or transaction with a Freelancer;
  • Non-delivery, late delivery, poor quality work, or breach of contract by a Freelancer; or
  • Any content posted by other users.

Engineer Hut’s role in collecting, holding, and releasing payment is provided solely as a convenience and safeguard for both parties. Engineer Hut is not liable for delays in releasing held funds, decisions made in resolving delivery disputes under Section 6, or a Freelancer’s failure to deliver, except where caused by Engineer Hut’s own gross negligence or willful misconduct.

Because Engineer Hut charges you no fees, commission, or markup, and is not a party to the underlying Client-Freelancer agreement, Engineer Hut’s total liability to you arising out of these Terms or your use of the Platform shall not exceed [Insert Amount, e.g., $50 USD], or the amount of any single payment held in escrow that is directly in dispute, whichever the parties agree upon at the time of any dispute.

13. Indemnification

You agree to indemnify and hold harmless Engineer Hut from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your engagement of a Freelancer, or your breach of these Terms.

14. Termination

You may deactivate your account at any time. Engineer Hut may suspend or terminate your account, with or without notice, if you violate these Terms or engage in conduct harmful to the Platform, other users, or Engineer Hut’s reputation.

15. Changes to These Terms

Engineer Hut may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. Material changes will be indicated by an updated “Last updated” date.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of Bangladesh. Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of [Insert City, e.g., Dhaka], Bangladesh.
