Clients do not directly hire or contract individual engineers through the platform, and all work is managed and delivered through the company.

5. Account and Eligibility

Users accessing services must be legally capable of entering into binding contracts under applicable law. Users representing organizations confirm that they have the authority to act on behalf of the organization.

6. Project Initiation and Agreements

Projects typically begin after a client submits a request and the company evaluates the project requirements. Prior to project initiation, both parties may agree to the project scope, timeline, deliverables, and payment structure. The company reserves the right to decline projects that do not align with operational, ethical, or technical standards.

7. Client Responsibilities

Clients are responsible for providing accurate project information, necessary documentation, and timely feedback throughout the project lifecycle. Clients must cooperate with the project team to ensure timely progress and completion.

8. Project Scope and Change Management

All projects are based on a defined scope of work. Requests that significantly change the original scope may require adjustments to pricing, timeline, and resource allocation. The company reserves the right to revise project estimates when substantial scope changes occur.

9. Pricing and Payments

Service pricing is determined based on project complexity, required resources, estimated development effort, and market conditions. Clients may be required to make an initial deposit before work begins. Additional payments may be scheduled according to milestones or delivery phases. Failure to meet payment obligations may result in suspension or termination of services.

10. Refunds and Cancellations

Refund eligibility depends on the stage of the project and resources already allocated. Projects cancelled before work begins may qualify for a partial refund after deducting planning costs. Projects cancelled after development has started are generally non-refundable due to allocated resources and completed work.

11. Delivery and Acceptance

Project deliverables will be provided in accordance with the agreed project scope. Clients are expected to review deliverables within a reasonable timeframe and provide approval or feedback. Once deliverables are accepted or deployed, the project may be considered completed.

12. Intellectual Property Rights

Ownership of final deliverables is transferred to the client upon full payment unless otherwise specified in the agreement. The company retains ownership of proprietary tools, frameworks, methodologies, and internal development resources used during project development.

13. Portfolio and Marketing Rights

Unless explicitly restricted by confidentiality agreements, the company reserves the right to showcase completed work in portfolios, case studies, and marketing materials for promotional purposes.

14. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive information shared during the course of the project. Confidential information may not be disclosed to third parties without authorization except when required by law.

15. Non-Solicitation and Non-Circumvention

Clients agree not to directly hire, solicit, or engage engineers, contractors, or employees introduced through the company for independent work without prior written consent. This restriction applies during the project and for a defined period after project completion.

16. Third-Party Tools and Services

Projects may include third-party services, software libraries, APIs, hosting providers, or other tools. The company is not responsible for service interruptions, pricing changes, licensing restrictions, or technical failures associated with third-party providers.

17. Data Protection and Privacy

The company processes personal data in accordance with applicable privacy laws and internal privacy policies. Clients agree that limited information may be processed for the purpose of service delivery and communication.

18. Security Practices

The company follows industry-standard practices to maintain secure development processes. However, absolute security cannot be guaranteed due to evolving cyber threats and external system vulnerabilities.

19. Support and Maintenance

Support and maintenance services are provided only if included in the service agreement or purchased separately. Ongoing maintenance may include updates, bug fixes, performance improvements, and technical support.

20. Limitation of Liability

The company’s liability for any claims arising from services is limited to the amount paid by the client for the relevant project. The company shall not be liable for indirect damages including loss of profits, business interruption, data loss, or reputational damage.

21. Indemnification

Clients agree to indemnify and hold the company harmless from any claims, damages, or liabilities arising from misuse of delivered software, violation of third-party rights, or unlawful activities conducted using project deliverables.

22. Service Suspension

The company reserves the right to suspend services if payment obligations are not met, if a client violates these terms, or if continued service would expose the company to legal or operational risk.

23. Termination

Either party may terminate the service relationship under certain circumstances. Upon termination, completed work may be delivered after settlement of outstanding payments.

24. Force Majeure

The company shall not be held responsible for delays or failure to perform obligations caused by events beyond its reasonable control including natural disasters, power failures, internet disruptions, government restrictions, or other unforeseen circumstances.

25. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through negotiation before pursuing legal proceedings. If a dispute cannot be resolved through negotiation, the matter may be handled according to the applicable jurisdiction.

26. Governing Law

These Terms of Service are governed by the laws of the jurisdiction where the company is registered. Any disputes arising from these terms will be handled in the appropriate legal courts of that jurisdiction.
